Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

After 38 years with Toro, Randy B. James, Toro's Vice President, Controller, has announced that he will retire, effective April 14, 2006.
Effective February 1, 2006, Toro has appointed Blake M. Grams as Managing Director, Corporate Controller (Toro’s principal accounting officer). From February 1 to April 14, 2006, Mr. James will remain with Toro for the purpose of mentoring Mr. Grams.
In the eight years prior to his promotion, Mr. Grams, 38, has held several finance positions with Toro, including Director, Corporate Finance since November 1, 2003, Sr. Corporate Financial Manager from July 28, 2002 to November 1, 2003 and Sr. Manager Financial Accounting and Planning from November 1, 2000 to July 28, 2002.
